Contract for Copywriting
Services
Your
acceptance of this agreement authorizes me
to write copy for the project described below,
for the fee listed below.
The copyright
to all material created or modified for you
here transfers to you on receipt of your full
and final payment. Until then it is owned
exclusively by E. Scott Janes.
After
the initial consultation, a deposit is required
for your project to be started. The
deposit is 50% of the total fee. If you cancel
the job a kill fee must be charged to cover
hours worked. The kill fee is 50% of the deposit
(25% of the total fee). At my discretion,
if you do need to cancel a project, some or
all of the fees paid may be applied to a subsequent
project.
All
revisions assigned within 15 days of your
receipt of the final draft are free
if those revisions are not based on a fundamental
change in the assignment.
If no revisions
are requested within 15 days of your receipt
of the final draft the project is considered
finished, delivered, and completed to your
satisfaction.
Final payment
is due within 15 days of receipt of the invoice.
Any unpaid balance accrues at a rate of 2%
per month.
Upon
receipt of final payment a 60-day pledge takes
effect. The 60-day pledge gives you
up to two additional revisions at no charge.
You agree that
I have not expressed any promises, warranties
or guarantees in regard to this project other
than I will develop, complete and deliver
it to the best of my ability.
You also agree
that you will indemnify and hold me completely
harmless from all costs, loses, claims, demands
and liabilities arising from the use of materials
I create for you. You likewise agree to indemnify
me from any and all liabilities that may arise
from any service, product or promise of performance
that you offer or sell.
To the extent
that the work being performed for you relies
upon, references or uses any name, trademark,
or other intellectual property belonging to
any third party, you warrant that you have
obtained all necessary right, license or interest
in such intellectual property, and have obtained
all necessary consents in order that I may
use that intellectual property.
You agree to
grant me the unlimited, non-exclusive right
to use copies of your project, at my discretion,
for “sample” display. If you request
so, your company identification will not be
disclosed.
